A Legal Disclaimer

Kickscope LLC ("we," "us," "our," or "Kickscope") is a USA-based digital marketing agency offering SEO, Google and Facebook ads management, website updates and maintenance, content posting, marketing strategy, promotions, referral programs, and campaigns to small and medium-sized businesses (SMBs) nationwide. These Terms and Conditions ("Terms") govern your access to and use of our website (kickscope.com), services, content, and any related materials. By visiting our site, submitting forms, booking audits, or engaging our services ("Partnership"), you ("you," "your," or "Client") agree to these Terms. If you don't agree, stop using everything now.

1. Acceptance and Changes
These Terms form a binding agreement. We may update them anytime — changes posted here with new date. Continued use = acceptance. Check back often. If material changes affect active Partnerships, we'll email you.

2. Services Overview
We provide digital marketing Partnerships tailored for SMB growth:

  • SEO optimization and local search dominance.

  • Paid ads management (Google, Facebook/Meta).

  • Website updates, management, and light development.

  • Content scheduling and posting across social channels.

  • Strategic advice, funnel audits, and growth roadmaps.

  • Promotions, referral structures, and campaign execution.

Services are month-to-month, customizable via onboarding. We deliver via email, calls, dashboards, or tools (e.g., Google Analytics shares).

3. Eligibility
You must be 18+, authorized to bind your business, and operate legally in the USA. No competitors — we reserve right to refuse service.

4. Partnership Formation and Fees

  • Start: Begins upon signed proposal, onboarding form, or payment. Free audits are non-binding.

  • Fees: Billed monthly in advance via Stripe (or approved method). Auto-renew until canceled. Includes all agreed services; extras quoted separately.

  • Payments: Due on invoice date. Late? 1.5% monthly interest + collection costs. No refunds for partial months.

  • Taxes: You pay any applicable sales/VAT taxes.

  • Setup: Waived or as quoted — covers initial audits/access setup.

We don't guarantee results — marketing depends on market, your biz, and external factors (e.g., algorithm changes). [No Guarantees: Efforts data-driven, but no promised leads/revenue.]

5. Your Responsibilities
To get max value:

  • Provide accurate info: Access (site logins, ad accounts), content, goals.

  • Approve timely: Ads, posts, changes (we pause if no response).

  • Comply: No illegal/spammy content; follow platform rules (Google/Meta TOS).

  • Pay on time: Suspensions for delinquents.

You're responsible for your business decisions — we advise, you execute/approve.

6. Intellectual Property

  • Our IP: Strategies, templates, tools, reports — ours. You get license for internal use during Partnership.

  • Your IP: Content/brands you provide — yours. Grant us license to use/modify for services (e.g., posting/ads).

  • Created Work: Custom ads/posts/sites — yours upon full payment. We retain portfolio rights (anonymized).

No resale of our stuff. Trademark "Kickscope" ours.

7. Confidentiality
We keep your biz secrets safe (data, strategies). You keep ours (methods, pricing). Survives termination. Exceptions: Legal requires or public info.

8. Termination and Cancellation

  • Month-to-Month: Cancel anytime with 30 days written notice (email privacy@kickscope.com). No prorated refunds.

  • By Us: Immediate for breach (non-pay, misuse), abuse, or if we can't deliver (e.g., platform bans).

  • Effects: Settle owed fees; return access; delete your data per Privacy Policy.

  • Survival: Payments, IP, disclaimers survive.


9. Warranties and Disclaimers

  • Our Warranty: Services professional, timely. Fix issues fast.

  • No Other Warranties: Site/services "as-is." No uptime guarantees (third-parties like Wix/Google).

  • Marketing Reality: No guaranteed results, rankings, or ROI. External risks (competitors, algorithms) out of control.

  • Limitation of Liability: Not liable for indirect damages (lost profits, data loss). Cap: Fees paid last 12 months. No consequential/punitive.


10. Indemnification
You indemnify us against claims from your content, misuse, or biz ops (e.g., false ads). We indemnify for our gross negligence.

11. Governing Law and Disputes
USA laws apply (Delaware if no state). Disputes: Friendly talk first, then arbitration (AAA rules, your state). No class actions. Winner gets fees.

12. Force Majeure
No liability for shit beyond control (wars, hacks, pandemics, Google outages).
Entire Agreement: Supersedes talks.Severability: Bad part cut, rest stands.Assignment: We can transfer; you need OK.No Waiver: Ignore once ≠ forever.Notices: Email counts.T&C should be defined according to the specific needs and nature of each website. For example, a website offering products to customers in e-commerce transactions requires T&C that are different from the T&C of a website only providing information (like a blog, a landing page, and so on).      T&C provide you as the website owner the ability to protect yourself from potential legal exposure, but this may differ from jurisdiction to jurisdiction, so make sure to receive local legal advice if you are trying to protect yourself from legal exposure.
